By accessing or using ZentraReg AI (the "Service"), operated by Aezis a.i. LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and Aezis a.i. LLC. Your continued use of the Service following any modifications to these Terms constitutes acceptance of those changes.

ZentraReg AI is an AI-powered regulatory intelligence platform designed for pharmaceutical, clinical, and veterinary compliance professionals. The Service provides AI-generated guidance on ICH (International Council for Harmonisation) guidelines and related regulatory topics.

The Service is accessible at zentraregai.aezisai.com and includes web-based AI consultation, document analysis, and retrieval of relevant regulatory source documents from our curated ICH guideline database. User-uploaded documents are processed transiently for analysis only and are not stored or retrievable after the session.

Service Availability: We do not guarantee that the Service will be uninterrupted or error-free. We reserve the right to perform scheduled and emergency maintenance, during which the Service may be temporarily unavailable. Scheduled maintenance will be announced in advance where practicable.

To access the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Single-Session Enforcement: For security purposes, the Service enforces single-device sessions. Only one active session per account is permitted at any time. Signing in on a new device will terminate the previous session.

Paid Subscription

• The premium subscription is billed at $149 USD per month
• Subscriptions are processed through our third-party payment providers (e.g., PayPal) and automatically renew each billing cycle
• You may cancel your subscription at any time through your account settings within the Service or by contacting us at info@aezisai.com
• Upon cancellation, you retain access to premium features until the end of the current billing period

Refund Policy

• Subscription fees are generally non-refundable
• Refund requests may be considered on a case-by-case basis for technical issues that prevented service access
• To request a refund, contact us at info@aezisai.com within 7 days of the charge

Price Changes

We reserve the right to modify subscription pricing with at least 30 days' advance notice. Price changes will take effect at the start of your next billing cycle following the notice period.

Non-subscribing users may access the Service with the following limitations:

• Daily limit: 5 questions per day
• Monthly limit: 50 questions per calendar month
• File uploads: Limited to standard file sizes; premium subscribers receive higher upload limits

Daily limits reset at 00:00 UTC each day. Monthly limits reset one month from your account creation date and on each subsequent monthly anniversary. If the anniversary date does not exist in a given month (e.g., the 31st in a 30-day month), the reset occurs on the last day of that month.

We reserve the right to modify these limits at our discretion. Paid subscribers receive unlimited questions and enhanced file upload capabilities.

• AI-generated responses are based on publicly available ICH guidelines and related documents and may contain errors, omissions, or outdated information
• Outputs must be independently verified against official regulatory sources (e.g., direct publications from ICH.org, FDA.gov, or EMA.europa.eu) before any regulatory submission, decision, or action
• The Service does not replace qualified regulatory affairs professionals, legal counsel, or direct consultation with regulatory authorities
• We make no warranties regarding the accuracy, completeness, or timeliness of AI-generated content
• Reliance on AI outputs is entirely at your own risk

AI Transparency: Our platform utilizes Google's Gemini AI via the enterprise Vertex AI API. We operate on "Zero-Retention" / "No-Training" enterprise API tiers — your data is never used to train or improve AI models. Our platform operates in compliance with the transparency requirements of the EU AI Act.

Our Property

The Service, including its software, AI models integration, curated regulatory document database, user interface design, branding, and all associated intellectual property, is owned by Aezis a.i. LLC and protected by applicable copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

Your Content

You retain full ownership of any documents you upload to the Service for AI analysis. As described in our Privacy Policy, uploaded documents are processed transiently and not persisted beyond the active processing window.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Share, transfer, or sell access to your account or credentials
• Use automated tools, bots, or scripts to access or scrape content from the Service
• Attempt to circumvent usage limits, rate controls, or security measures
• Upload malicious files, viruses, or content designed to disrupt the Service
• Misrepresent AI-generated outputs as official regulatory guidance or authoritative advice
• Use the Service in a way that could harm, overburden, or impair our infrastructure

Violation of this policy may result in immediate account suspension or termination without notice.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Key commitments include:

• We utilize "Zero-Retention" / "No-Training" enterprise API tiers for all AI processing
• Your proprietary queries and documents are never used to train or update AI models
• Uploaded documents are processed in a volatile memory environment and deleted upon completion of the analysis session
• We comply with GDPR, CCPA/CPRA, PIPEDA, LGPD, POPIA, APPs, PDPA, and APPI

You agree to indemnify, defend, and hold harmless Aezis a.i. LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Regulatory decisions or submissions made in reliance on AI-generated outputs
• Any content you upload to or transmit through the Service
• Your violation of any applicable law or regulation

By You

You may terminate your account at any time by contacting us at info@aezisai.com. If you have an active subscription, cancellation will take effect at the end of your current billing period.

By Us

We reserve the right to suspend or terminate your account without prior notice if you violate these Terms, engage in prohibited activities, or if continued service poses a security risk. In such cases, we are not obligated to provide a refund.

Effect of Termination

Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination — including Sections 6 (AI Disclaimer), 7 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) — shall continue in full force and effect.

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the matter to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, in the State of Maryland, United States.

Notwithstanding the above, either party retains the right to seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.

Class Action Waiver: YOU AND AEZIS A.I. LLC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against Aezis a.i. LLC. If this waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void, and the dispute shall proceed in a court of competent jurisdiction in the State of Maryland.

We may update these Terms from time to time. Material changes will be communicated to registered users via email or a prominent notice within the Service at least 30 days before they take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may request account deletion.

The "Last updated" date at the top of this page reflects the most recent revision.
